1. Introduction

Welcome to PaidSkills, operated by LET'S COOK ENTERTAINMENT PTE. LTD. ("we," "us," or "our"). By accessing or using our website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Definitions

In these Terms, the following definitions apply:

"Services" refers to the PaidSkills website and any related services provided by us.
"User," "you," or "your" refers to any individual accessing or using our Services.
"Content" means any text, images, video, audio, or other multimedia content, software, or other information or material submitted to or on the Services.
"Competitions" refers to skill-based Counter-Strike 2 matches where users can wager money.
"Account" means a registered account you create when you use the Services.

3. Eligibility

By using our Services, you represent and warrant that:

You are at least 18 years of age.
You have the legal capacity to enter into a binding agreement.
Your use of the Services does not violate any applicable laws or regulations.

4. Restricted Jurisdictions

The Services involve real-money skill-based wagering and may not be lawful in every jurisdiction. The Services are not offered to, and may not be accessed or used by, persons located in any jurisdiction where the offering, access, or use of the Services would be unlawful or would require us to obtain any license, registration, or approval that we do not hold.

You are solely responsible for determining whether your access to or use of the Services is lawful under the laws of your jurisdiction of residence and the jurisdiction from which you access the Services. By using the Services, you represent and warrant that doing so is lawful where you are located.

We reserve the right, in our sole and reasonable discretion, to refuse to make the Services available, to refuse to enter into Competitions or accept wagers, and to terminate Accounts based on geographic location, residency, IP address, device data, or any other factor we deem relevant to legal or regulatory compliance. We may from time to time publish a list of restricted jurisdictions; the absence of a jurisdiction from any such list shall not be construed as a determination that the Services are lawful there.

5. Account Registration and Verification

5.1 Registration

To access certain features of the Services, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your Account credentials and are liable for all activities or actions under your Account.

5.2 Identity Verification

We may, at any time and at our sole and reasonable discretion, require you to verify your identity, age, residency, source of funds, or other information as a condition of opening or maintaining an Account, depositing funds, participating in Competitions, or processing withdrawals. You agree to cooperate fully and promptly with any such verification request. We may suspend or restrict your Account, withhold any pending withdrawals, and refuse to process any further transactions until verification is satisfactorily completed. We may refuse to open or continue an Account, and may withhold or reverse any transaction, if we are unable to satisfy our identity, anti-money-laundering, anti-fraud, or sanctions-screening obligations or internal risk standards in respect of you.

5.3 One Account per User

Each user is permitted one (1) Account. We may, at our sole and reasonable discretion, close, merge, or void any duplicate, secondary, or linked Accounts, void any Competitions, and forfeit any winnings, deposits, or balances associated with such Accounts.

6. Use of Services

Our Services allow you to participate in skill-based wagering on Counter-Strike 2 matches. You agree to comply with all applicable laws and regulations when using our Services.

7. Tax Responsibility

You are solely responsible for determining, declaring, withholding, reporting, and paying any and all taxes, duties, levies, or governmental charges that may be applicable to your use of the Services, including without limitation any taxes on deposits, wagers, winnings, withdrawals, or prizes. We make no representation or warranty regarding the tax treatment of any transaction on the Services. Where required by applicable law, we may withhold amounts from your winnings or balances and remit such amounts to the relevant authority; you release us from any liability arising from any such withholding.

8. Spirit of Fair Play and Competitive Integrity

PaidSkills is a skill-based competitive platform. Our Services exist for players who compete genuinely, on the merits of their own skill, against opponents acting in good faith. By using the Services, you agree to uphold the spirit of fair play in every Competition, wager, and interaction.

You acknowledge that fair play is a material condition of your right to use the Services and to receive any winnings or payouts. Conduct that, in our reasonable judgment, undermines the integrity of competition on the Services, whether or not it is expressly enumerated below, constitutes a material breach of these Terms.

Without limiting any other provision, the following are strictly prohibited:

Failing to compete to the best of your ability in any Competition for which a wager, prize, or rating is at stake.
Coordinating with opponents, teammates, spectators, or any third party to influence the outcome, score, statistics, or duration of a Competition.
Wagering on any Competition in which you have, or any person known to you has, a relationship that could compromise impartiality.
Sharing, selling, transferring, or accessing another user's Account; allowing another person to compete on your behalf ("account boosting" or "ringing"); or competing on behalf of another person.
Using the Services in any manner that an ordinary, reasonable competitor would recognize as contrary to the spirit of fair competition, even where no specific rule is expressly violated.

We reserve the right, in our sole and reasonable discretion, to investigate, suspend, restrict, or permanently terminate any Account, void any Competition, and forfeit any winnings, deposits, or balances where we determine that conduct on or through the Account is inconsistent with the spirit of fair play.

9. Match Manipulation, Collusion, and Match Fixing

9.1 Definitions

For purposes of these Terms:

"Match Fixing" means any agreement, arrangement, act, or omission intended to improperly influence, in whole or in part, the result, course, conduct, score, or any other aspect of a Competition, whether for financial gain, competitive advantage, or any other purpose.
"Spot Fixing" means manipulating a discrete, in-match event (a round, a kill, a statistical outcome, a timing event, or similar) without necessarily influencing the overall result of a Competition.
"Collusion" means any cooperation between two or more persons (including opponents, teammates, spectators, or third parties) intended to circumvent the fair operation of the Services, including coordinated wagering, "chip dumping," soft play, signal sharing, or sharing of confidential match information.

9.2 Strict Prohibition

You shall not, directly or indirectly, engage in, attempt, solicit, facilitate, conspire in, or fail to report any Match Fixing, Spot Fixing, or Collusion in connection with the Services. This prohibition applies regardless of whether you personally place a wager, receive any benefit, or are the prevailing party in the affected Competition.

9.3 Reservation of Rights on Suspicion

You acknowledge and agree that we may, in our sole and reasonable discretion and at any time, with or without prior notice:

Suspend, restrict, or permanently terminate any Account that we reasonably suspect of involvement in Match Fixing, Spot Fixing, or Collusion;
Freeze, void, withhold, reverse, or forfeit any wagers, winnings, deposits, withdrawals, balances, or items associated with any such Account, whether earned before or after the suspected conduct;
Void the result of any affected Competition and refund or re-allocate stakes as we determine appropriate;
Decline to enter into, or unilaterally terminate, any further commercial relationship with you;
Report the matter to game publishers, tournament organizers, payment processors, regulators, and law-enforcement authorities; and
Share information about the conduct, the Account, and the user with the foregoing parties and with any successor operator of the Services.

A reasonable suspicion may be based on, among other things, gameplay telemetry, wagering patterns, communications records, third-party intelligence, statistical anomalies, IP or device data, or information received from publishers, tournament organizers, or law enforcement. We are not obligated to disclose the basis of our determination, and our determination shall be final, subject only to such review process as we may, in our discretion, make available.

9.4 Duty to Cooperate and Report

You agree to (i) promptly report to support@paidskills.gg any approach, offer, request, or suspected instance of Match Fixing, Spot Fixing, or Collusion of which you become aware, and (ii) cooperate fully and promptly with any investigation conducted by us or by any competent authority, including by providing communications, account information, and gameplay records reasonably requested.

9.5 No Entitlement; Recovery of Funds

You acknowledge that any funds, items, or winnings derived from or connected to Match Fixing, Spot Fixing, or Collusion are not rightfully yours, and you have no legal or equitable entitlement to them. We may recover any such amounts already withdrawn by any lawful means, including offset against other balances and legal action for the recovery of damages and costs.

10. Anti-Cheat and Unauthorized Software

You shall not use, install, run, develop, distribute, advertise, sell, or facilitate the use of any cheat, hack, exploit, modification, or any unauthorized third-party software in connection with any Competition or other use of the Services. Without limiting the foregoing, the following are strictly prohibited:

Aimbots, triggerbots, no-recoil tools, "wallhacks," ESP, radar hacks, and any other software, hardware, or firmware that provides information or capabilities not available to ordinary players through the unmodified game client.
Macros, scripts, automation tools, or hardware devices that simulate, replace, or augment user input in a manner that confers a competitive advantage.
Modified, altered, or unofficial game clients, modified game files, or any tooling that interferes with the integrity of the underlying game or the Services.
Tools designed to evade, circumvent, defeat, or interfere with anti-cheat or anti-fraud systems operated by us or by the publisher of the underlying game.
Use of an Account that has been or is reasonably likely to be banned, restricted, or flagged by the publisher of the underlying game for cheating, exploiting, or breach of the publisher's terms.

We reserve the right, in our sole and reasonable discretion, to use any technical means to detect, monitor, log, and prevent the foregoing, including by collecting telemetry, gameplay data, and device information consistent with our Privacy Policy. The consequences set forth in Section 9.3 shall apply equally to violations of this Section 10.

11. Other Prohibited Activities

In addition to the conduct prohibited elsewhere in these Terms, you agree not to engage in any of the following:

Using the Services for any unlawful purpose or in violation of any local, state, national, or international law.
Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Interfering with or disrupting the Services or servers or networks connected to the Services.
Attempting to access or search the Services or download Content from the Services through unauthorized means.
Using any software, devices, or other processes to "crawl" or "spider" any page of the Services.

12. Exploits, Bugs, and Vulnerabilities

12.1 Prohibition of Exploits

You shall not exploit, abuse, or take advantage of any bugs, glitches, errors, or vulnerabilities in the Services, including but not limited to our cases, games, Competitions, payment systems, or any other feature. This includes, but is not limited to:

Intentionally using bugs or glitches to gain unfair advantages or unauthorized benefits.
Manipulating game mechanics, odds, or outcomes through technical means.
Exploiting vulnerabilities in our payment or withdrawal systems.
Using automated tools, bots, scripts, or third-party software to interact with the Services in unintended ways.
Reverse engineering, decompiling, or attempting to derive source code from any part of the Services.

12.2 Consequences of Exploitation

If we determine, in our sole and reasonable discretion, that you have exploited or attempted to exploit any aspect of the Services, we reserve the right to take any or all of the following actions:

Immediately suspend or permanently terminate your Account without prior notice.
Void and forfeit any winnings, prizes, or benefits obtained through exploitation, regardless of whether such funds have been withdrawn.
Retract, reverse, or recover any funds, items, or benefits that were obtained through exploitative means.
Withhold any pending withdrawals or payments from your Account.
Report the matter to appropriate law enforcement authorities if we believe illegal activity has occurred.
Pursue legal action to recover damages, including but not limited to attorney fees and court costs.

12.3 Reporting Vulnerabilities

If you discover any bugs, vulnerabilities, or exploits in the Services, you must immediately report them to us at support@paidskills.gg. You must not exploit, share, or disclose such vulnerabilities to any third party. We may, at our discretion, provide rewards for responsible disclosure of security vulnerabilities.

12.4 No Eligibility for Winnings

You acknowledge and agree that any funds, items, or winnings obtained through exploitation, abuse, or violation of these Terms are not rightfully yours and you have no legal entitlement to them. We are under no obligation to honor, process, or pay out any such winnings.

13. Intellectual Property

All Content included in the Services, such as text, graphics, logos, images, and software, is the property of LET'S COOK ENTERTAINMENT PTE. LTD. or its Content suppliers and protected by international copyright laws. Unauthorized use of the Content may violate copyright, trademark, and other laws.

14. User-Generated Content

You may submit Content to the Services, including but not limited to gameplay data and communications with other users. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, publicly display, reproduce, and distribute such Content in connection with operating and providing the Services.

15. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices.

16. Third-Party Services and Game Availability

The Services rely on the availability and continued operation of third-party platforms and services, including without limitation the publisher of the underlying game (Counter-Strike 2 by Valve Corporation), the Steam platform, payment processors, hosting providers, and identity-verification providers. We do not control these third parties, and their availability, performance, terms, and policies may change at any time without notice.

We do not warrant the continued availability of the underlying game or any third-party service, and we shall have no liability for any disruption, change, suspension, or termination of any such third party that affects the Services. Without limiting Section 23 (Force Majeure), any temporary or permanent unavailability of the Services arising from a third-party event is not a breach of these Terms.

You acknowledge that your use of the Services is also subject to the terms of service and acceptable-use policies of any third party whose services or software you use to access or participate in the Services, and you agree to comply with all such terms.

17. Responsible Play and Account Closure

The Services are intended for adult users who choose to participate in skill-based competitive activities. You are encouraged to use the Services responsibly and within means consistent with your personal financial circumstances.

You may at any time request the closure of your Account by contacting support@paidskills.gg. Subject to verification of identity, completion of any pending Competitions, satisfaction of any verification or compliance obligations, and reconciliation of any outstanding balance, we will close the Account within a reasonable period.

You may also request a self-exclusion period during which we will block access to the Services from your Account. Self-exclusion requests are honored on a best-efforts basis; you remain responsible for not creating new Accounts during any self-exclusion period.

18. Termination

We may terminate or suspend your Account and access to the Services at any time, in our sole and reasonable discretion, without prior notice or liability, for any reason, including if you breach any of these Terms. Upon termination, your right to use the Services will immediately cease, subject to the survival of those provisions identified in Section 25.6.

19. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

20. Limitation of Liability

In no event shall LET'S COOK ENTERTAINMENT PTE. LTD., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

21. Indemnification

You agree to indemnify and hold harmless LET'S COOK ENTERTAINMENT PTE. LTD. from any claims, losses, damages, liabilities, including legal fees, arising out of your use or misuse of the Services, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

22. Governing Law, Jurisdiction, Arbitration, and Class Action Waiver

22.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

22.2 Forum

Subject to Section 22.3, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore. You agree to submit to the personal jurisdiction of such courts and waive any objections based on inconvenient forum.

22.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that is not resolved through good-faith discussions within thirty (30) days of written notice may, at the election of either party, be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules in force at the time of commencement, by a sole arbitrator, with the seat of arbitration in Singapore and proceedings conducted in English. Judgment on any award rendered may be entered in any court of competent jurisdiction.

22.4 Class Action Waiver

To the maximum extent permitted by applicable law, you and we each agree that any proceeding to resolve any dispute will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action, representative action, collective action, private attorney-general action, or in any proceeding in which you or we act or propose to act in a representative capacity. No proceeding will be combined with another without the prior written consent of all parties to all affected proceedings.

22.5 Time Limitation

Any claim arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action arose; otherwise, the claim is permanently barred, except where applicable law prohibits such limitation.

23. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent such failure or delay is caused by events or circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, public health emergencies, labor disputes, fire, flood, earthquake, internet or telecommunications outages, denial-of-service attacks, third-party platform outages (including outages of game publishers, payment processors, or hosting providers), or any failure of the underlying game on which Competitions are conducted.

24. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

25. Miscellaneous

25.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LET'S COOK ENTERTAINMENT PTE. LTD. regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

25.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision, and the Terms shall be construed as if such invalid provision had been replaced with a valid provision that most closely reflects the original intent.

25.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights, and no waiver of any term shall be deemed a further or continuing waiver.

25.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in whole or in part at any time, including in connection with a merger, acquisition, reorganization, or sale of assets, without restriction or notice to you.

25.5 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

25.6 Survival

Provisions of these Terms that by their nature should survive termination shall so survive, including without limitation Sections 7 (Tax Responsibility), 8 (Spirit of Fair Play), 9 (Match Manipulation), 10 (Anti-Cheat), 12 (Exploits), 13 (Intellectual Property), 19 (Disclaimer of Warranties), 20 (Limitation of Liability), 21 (Indemnification), 22 (Governing Law), and this Section 25.
